Windows 7 VM fails to load. Windows Boot Manager calls for installation disk

Hi,  I've tried making a VM of a Windows 7 machine from a Dell laptop twice.  Each time an error message showed about a device not loading and then the Windows Boot Manager screen came up needing the install disk.  That error message went quickly.  It may have been about the cdrom at ide1:0.

 

The Windows 7 machine is an Win 7 upgrade installation on a Dell laptop that originally had Vista (boo).  I have tried the 32 and 64 bit upgrade disks to no avail.  Made the VM using the standalone Fusion software.  Host is an Apple iMac running Mavericks and Fusion 6.2.

 

I have a successful VM of a Windows XP machine on the same iMac.   I tried comparing the  .vmx files to see the fault.  Anyone know if that is a logical way to proceed?  Or is there a different configuration file?   I see many difference including two cdrom ice listings in the unworkable Windows &.VMX.  Will reprint it below my sig hoping one might see the problem there.
